Terms & conditions

The agreement that governs your use of the MindDhara platform, therapy, mentorship and shop.

The website 'www.minddhara.com' and all other associated and ancillary applications, products, websites, and services ("Website/Platform") are the property of and managed by MindDhara Private Limited (CIN: U86909HR2025PTC136572), a company incorporated under the Companies Act, 2013, having its registered office at Flat No. 102, Tower 25, Palm Hills, Sector 77, Narsinghpur, Gurugram, Haryana – 122004 (hereinafter referred to as "MindDhara", "We", "Us", or "Our"). The terms "You", "Your", and "Yourself" are to be construed as synonymous with the term "User", meaning any person who registers on, accesses, or uses the Platform or any of the Services.

Please read these Terms and Conditions carefully before registering, accessing, or using the Services (defined below) offered through the Platform. These Terms and Conditions constitute a legally binding contract ("Terms and Conditions/ T&C") between You and MindDhara. These Terms shall at all times be read and construed together with Our Privacy Policy, Refund and Cancellation Policy, and any other policies or supplemental terms published on the Platform from time to time (collectively referred to as the "Policy Documents"). In the event of any conflict between these Terms and any other Policy Document, these Terms shall prevail unless otherwise expressly stated. By accessing or using the Platform, You confirm that You have read, understood, and agreed to be bound by these Terms and all applicable Policy Documents. If You do not agree to these Terms or do not wish to be bound by them, You must immediately discontinue Your use of the Platform and the Services.

For the purposes of these Terms and Conditions, the following terms shall have the meanings ascribed to them below:

  • "MindDhara" / "We" / "Us" / "Our" means MindDhara Private Limited (CIN: U86909HR2025PTC136572), a company incorporated under the Companies Act, 2013, with its registered office at Flat No. 102, Tower 25, Palm Hills, Sector 77, Narsinghpur, Gurugram, Haryana – 122004.
  • "Platform" means the website 'www.MindDhara.com' and all associated mobile applications, tools, and digital interfaces through which MindDhara makes its Services available to Users.
  • "User" / "You" / "Your" / "Yourself" means any person who registers on, accesses, or uses the Platform or any of the Services, on any computer, mobile phone, tablet, or other device.
  • "Account" means the registered profile You create on the Platform to access MindDhara's Services.
  • "Services" means everything MindDhara offers through the Platform including MindDhara Couch, MindDhara Forward, and any other services, features, content, or tools made available from time to time.
  • "MindDhara Couch" means MindDhara's online mental health counselling and therapy service, through which Users can book individual Sessions, group therapy, and mental wellness workshops with Practitioners through the MindDhara Platform.
  • "MindDhara ATLAS" means MindDhara's South Asian brain health research infrastructure, operating at atlasdhara.com, through which MindDhara facilitates applied psychological research using anonymised and aggregated data. ATLAS does not provide client-facing services and does not generate clinical revenue in its current form.
  • "MindDhara Forward" means MindDhara's psychology-focused skill development, capacity building, and career development service, designed for individuals from the age of 12 through to doctoral level who are pursuing or considering a career in psychology or the brain health sciences. MindDhara Forward delivers individual mentorship, group workshops, school programmes, and published resources to support academic development, career planning, application strategy, and professional identity formation in the field of psychology.
  • "Package" means a one or bundle of Sessions purchased by a User, including but not limited to MindDhara Couch programmes and MindDhara Forward advisory packages, as described on the Platform from time to time.
  • "Digital Product" means any book, guide, workbook, resource, or other digital content made available for purchase or download through the Platform, excluding Sessions and Packages.
  • "Practitioner" means a psychologist, counsellor, therapist, or psychiatrist onboarded on the Platform to deliver MindDhara Couch services. Practitioners are registered with the Rehabilitation Council of India or the Medical Council of India, as applicable.
  • "Psychology Career Mentor" (hereinafter referred to as "Mentor/Mentors") means a study-abroad mentor or career advisor onboarded on the Platform to deliver MindDhara Forward services.
  • "Session" means a scheduled one-on-one or group appointment conducted through the Platform between You and one or more Practitioners or Mentors through video, audio, text, or such other remote means as may be made available on the Platform.
  • "Session Fee" means the fee payable by You for a Session or advisory package, as shown on the Platform at the time of booking. Fees may vary depending on the Practitioner or Mentor You choose and the type of service.
  • "Personal Information" has the meaning given to it under the Digital Personal Data Protection Act, 2023. How we collect, use, and store your Personal Information is covered in our Privacy Policy, which forms part of these Terms.
  • "Confidential Information" means any non-public information shared through the Platform including what You share during counselling sessions, Your academic and career details under MindDhara Forward, and anything else that the context of disclosure reasonably indicates should be kept confidential.
  • "Policy Documents" means these Terms read together with our Privacy Policy, Refund and Cancellation Policy, and any other policies published on the Platform from time to time. If there is a conflict between these Terms and any other Policy Document, these Terms take precedence unless stated otherwise.
  • "T&C" / "Terms" / "Terms of Use" means these Terms and Conditions, as updated from time to time.

Capacity to Contract

The User must be a natural person who is competent to contract under the Indian Contract Act, 1872, having attained the age of 18 (eighteen) years, being of sound mind, and not being disqualified from contracting by any law for the time being in force in India. By accessing or using the Platform, the User hereby represents and warrants that they possess full legal capacity and authority to enter into a valid and binding agreement with MindDhara. Where a User, at the time of registration or at any point during their use of the Platform, lacks or loses the capacity to contract by reason of mental illness, intellectual disability, or any other condition affecting their legal competence, MindDhara reserves the right to require that a parent, legal guardian, or authorised representative act on their behalf for all purposes under these Terms. MindDhara shall not be liable for any consequence arising from a User's failure to disclose such incapacity at the time of registration.

MindDhara does not provide Services through the Platform to persons below the age of 18 (eighteen) years. Any access to or use of the Platform by a person below the age of 18 (eighteen) years shall be deemed unauthorised and in violation of these Terms, and MindDhara reserves the right to immediately suspend or terminate any Account so identified, without prior notice and without liability.

Notwithstanding the foregoing, MindDhara Forward individual mentorship services may be made available to persons between the ages of 12 (twelve) and 17 (seventeen) years ("Minor Users") on an individual basis, subject to the following conditions: (i) the parent or legal guardian of the Minor User shall create the Account, agree to these Terms, make all payments, and provide prior, informed, and verifiable parental consent for the Minor User's participation, as required under the Digital Personal Data Protection Act, 2023; (ii) the parent or legal guardian shall provide a valid contact number at registration for communication, consent verification, and safeguarding purposes; (iii) the parent or legal guardian shall bear full legal responsibility for the Minor User's participation; and (iv) the Minor User shall be the beneficiary of the Services and not a contracting party. Where counselling, therapy, psychiatric consultation, or other telehealth Services are provided to a Minor User, MindDhara may require the presence or availability of a parent, legal guardian, or authorised adult caregiver during intake, onboarding, emergency escalation, or such portions of the Session as may be considered clinically or operationally necessary. MindDhara shall process the personal data of the parent or legal guardian and the Minor User in accordance with Our Privacy Policy and the Digital Personal Data Protection Act, 2023.

Eligibility to access specific Services, including but not limited to therapy, counselling, mentorship, and research participation, shall be subject to such additional criteria as MindDhara or the relevant Practitioner may prescribe, at their sole discretion, from time to time.

Intention to Create Legal Relations

By accessing or using the Platform and its Services, the User expressly acknowledges and agrees that such access and use constitutes a legally binding arrangement, enforceable under applicable laws, and is undertaken with the clear intention to create legal relations.

No Misrepresentation or Fraud

The User undertakes not to provide any false, inaccurate, misleading, or incomplete information in connection with their registration on, or use of, the Platform. Any misrepresentation or fraud, as contemplated under Sections 17 and 18 of the Indian Contract Act, 1872, shall render the agreement voidable at the option of MindDhara and/or the relevant service provider, and may result in rejection of registration, suspension or termination of access to the Services, and/or initiation of appropriate legal proceedings.

Compliance with Applicable Laws

The User agrees to comply with all applicable laws, rules, and regulations in connection with their access to and use of the Platform. The User may be required to complete such onboarding, verification, or compliance procedures as may be prescribed by MindDhara from time to time.

Suitability for Services

The User acknowledges and agrees that access to certain services offered on the Platform, including but not limited to therapy, counselling, mentorship, and research participation, may be subject to an assessment of suitability based on the User's disclosures, requirements, and circumstances.

MindDhara does not warrant or guarantee the suitability, efficacy, or outcomes of any Services. Where Services are rendered by Practitioners, such Services are provided in their professional capacity, and MindDhara shall not be responsible for the nature, quality, or outcome of such Services.

Geography

MindDhara's Services are available to Users based in India. Online counselling and advisory services under MindDhara Couch and MindDhara Forward are also accessible to Non-Resident Indians and South Asian diaspora users located outside India, subject to the following:

  • It is Your sole responsibility to ensure that Your use of the Platform complies with the laws of the jurisdiction in which You are located. MindDhara makes no representation that the Services are appropriate, legally permissible, or available in any jurisdiction outside India.
  • MindDhara shall not be held liable for non-compliance with the laws of any country other than India. Any User accessing the Platform from outside India does so entirely at their own risk.
  • Where payments are made in foreign currency, applicable conversion rates, platform fees, and international transaction charges will apply as set out in the Payments Clause of these Terms.

Valid Acceptance of Terms

The User shall provide free, informed, specific, and unconditional consent to these Terms and Conditions, the Privacy Policy, and any additional terms governing specific Services on the Platform, by way of explicit acceptance through digital or other legally recognized means.

Any access to or use of the Platform without such valid consent, as contemplated under the Indian Contract Act, 1872, shall be deemed invalid and unenforceable.

Use of the Platform

The User shall be a registered user of the Platform and shall comply with these Terms and Conditions, the Privacy Policy, and all other policies or guidelines as may be communicated by MindDhara from time to time. The User agrees to use the Platform strictly for lawful purposes. MindDhara reserves the right, at its sole discretion, to suspend or terminate access to the Platform in the event of any breach of these Terms.

Role of the Platform

The User acknowledges and agrees that MindDhara operates as a technology platform that facilitates access to mental health, cognitive wellbeing, and career advisory services, mentorship, and research initiatives.

Services under MindDhara Couch and MindDhara Forward may be delivered directly by MindDhara, through the MindDhara Platform by Practitioners or Mentors.

Where Services are delivered directly by MindDhara, MindDhara shall make reasonable efforts to ensure the quality and delivery of such Services in accordance with these Terms, but does not guarantee any specific outcome, result, or standard of care beyond what is expressly stated herein. Where Services are delivered through the MindDhara Platform, MindDhara acts solely as a technology intermediary. MindDhara does not control, supervise, or direct the provision of such Services and shall not be deemed responsible or liable for the acts, omissions, or professional conduct of the relevant Practitioners or Mentors. Any engagement for Services through the MindDhara Platform shall constitute a direct arrangement between the User and the relevant Practitioner or Mentor, subject to applicable laws and professional standards.

MindDhara offers two core services through the Platform, MindDhara Couch and MindDhara Forward, both of which may be delivered through the Platform by Practitioners or Mentors, as applicable.

MindDhara Couch is MindDhara's mental health counselling and therapy service through which You may access one-on-one Sessions, group therapy, mental wellness workshops, cognitive wellbeing assessments, and structured mental health programmes with Practitioners.

MindDhara reserves the right, at its sole discretion, to add, modify, suspend, withdraw, or discontinue any Service, feature, or functionality available through the Platform at any time and without prior notice. Where any material modification affects a Service already purchased by You, MindDhara shall provide such remedy as it deems appropriate in accordance with the Refund and Cancellation Policy. The specific terms, scope, limitations, and disclaimers applicable to each Service are set out in the Disclaimers clause of these Terms.

MindDhara may invite Users to provide testimonials or case studies for use in its marketing materials. Any such use shall be subject to Your separate prior written consent obtained at the time of the request.

MindDhara publishes books, guides, workbooks, and other written resources in the field of psychology and brain health, available for purchase through the Platform. Such publications are the intellectual property of MindDhara and are protected under applicable copyright law. Unauthorised reproduction, distribution, or adaptation of MindDhara publications in whole or in part, in any form or medium, is strictly prohibited. The content of MindDhara publications is intended for educational and informational purposes only and does not constitute clinical advice, diagnosis, or treatment. MindDhara makes no representation that the content of its publications is suitable for any specific individual's circumstances. Purchases of digital publications through the Platform are governed by these Terms and Our Refund and Cancellation Policy.

You acknowledge that Services delivered via video or other remote means are subject to the inherent limitations of telehealth delivery. These include but are not limited to: the inability of the Practitioner to conduct a physical examination; the risk of technical failure, poor connection quality, or interruption of the Session; the inability of the Practitioner to physically intervene in the event of a clinical emergency; and the dependence of the Session on the User's access to suitable technology and a secure environment. MindDhara is not responsible for the consequences of any limitation inherent to remote delivery. Where a Practitioner determines that a User's presentation is not suitable for telehealth delivery, MindDhara will notify the User and advise them to seek an appropriate in-person service, but does not guarantee the availability or suitability of any specific alternative provider.

MindDhara ATLAS

MindDhara ATLAS is MindDhara's South Asian brain health research infrastructure, operating at atlasdhara.com, through which MindDhara facilitates applied psychological research using anonymised and aggregated data. ATLAS does not provide client-facing services and does not generate clinical revenue in its current form.

Your use of MindDhara Couch or MindDhara Forward does not constitute participation in any ATLAS research activity. Any data contributed to ATLAS research is anonymised and aggregated prior to use and shall not be attributable to You individually. The collection and use of any such data shall be governed by Our Privacy Policy and applicable provisions of the Digital Personal Data Protection Act, 2023, and shall at no time create any obligation, liability, or commitment on Your part in connection with ATLAS or its research outputs.

MindDhara reserves the right to develop, modify, suspend, or discontinue ATLAS at any time without notice to You and without incurring any liability. ATLAS is governed by separate terms published at atlasdhara.com, which do not form part of these Terms.

Accuracy of Information

Prior to accessing the Services, You shall be required to complete the registration process on the Platform by furnishing such information as We may prescribe from time to time, including but not limited to Your full legal name, a valid electronic mail address, a working mobile number, and such other details as may be specified at the time of registration.

You hereby represent and warrant that all information furnished by You at the time of registration, and at any time thereafter, is and shall remain true, accurate, current, and complete in all material respects. You further undertake to promptly update Your Account information so as to ensure its continued accuracy and completeness at all times.

Any registration, submission, or representation that is found to be false, misleading, incomplete, or incapable of verification shall entitle Us, at Our sole and absolute discretion, to reject Your registration, suspend or terminate Your Account, and/or initiate such legal proceedings as We may deem appropriate, without prior notice and without incurring any liability to You.

For the purposes of identity verification and compliance with applicable law, We may, where We deem necessary, engage licensed third-party verification service providers to authenticate the information and documentation furnished by You. Where information provided by You is found, upon such verification, to be inadequate, insufficient, or inconsistent, We reserve the right to refuse or terminate Your registration at Our sole discretion, without incurring any obligation or liability.

You shall be permitted to maintain only one Account on the Platform at any given time. The creation or maintenance of multiple Accounts by the same individual is strictly prohibited unless We have granted Our prior written consent to the contrary.

Account Responsibility

You shall be solely and exclusively responsible for all activities, transactions, bookings, communications, and submissions that occur through or under Your Account, whether or not such activity has been authorised by You.

You agree to notify Us immediately in writing at hello@minddhara.com upon becoming aware of: (i) any unauthorised access to or use of Your Account; (ii) any compromise, theft, or loss of Your login credentials; or (iii) any other actual or suspected breach of security in relation to Your Account. We shall not be liable for any loss, damage, or liability of any nature arising from Your failure to comply with this obligation or to report any such incident without undue delay.

All actions taken through Your Account, including but not limited to bookings, payments, data submissions, and communications, shall be deemed, for all purposes, to have been authorised by You. Where You, whether knowingly or negligently, permit or enable any third party to access or operate Your Account, You shall remain fully and solely responsible for all acts, omissions, and liabilities arising therefrom.

Password Security

You shall be solely responsible for maintaining the strict confidentiality of Your login credentials, including Your password. You undertake not to disclose, share, or otherwise make available Your login credentials to any third party under any circumstances.

You agree to ensure that You log out of Your Account upon the conclusion of each session. We shall bear no responsibility, and shall not be held liable, for any unauthorised access to or misuse of Your Account, or for any loss or damage suffered by You, arising from Your failure to maintain the confidentiality of Your credentials, Your failure to log out, or Your failure to secure Your device.

Closure of Account

You may, at any time, request the closure of Your Account by submitting a written request to Us at hello@minddhara.com. We shall endeavour to process such requests within fourteen (14) working days of receipt, subject to the fulfilment of the following conditions at the time of such request: (i) there are no outstanding dues or unpaid amounts payable by You to Us; (ii) there are no pending or confirmed Sessions that have been paid for and not yet utilised; and (iii) there are no unresolved disputes or proceedings initiated by or against You in connection with the Platform or the Services.

The closure of Your Account shall not affect, extinguish, or otherwise discharge any obligation, liability, or right that accrued prior to such closure. Any rights or obligations arising under these Terms that by their nature are intended to survive termination shall continue to remain in full force and effect notwithstanding the closure of the Account.

Upon closure of Your Account, We shall handle Your Personal Information in accordance with Our Privacy Policy and in compliance with the applicable provisions of the Digital Personal Data Protection Act, 2023. You acknowledge that We may be required, or may be otherwise entitled, to retain certain information following Account closure for the purposes of regulatory compliance, legal proceedings, audit, or archival, as may be required under applicable law.

Notwithstanding anything contained in this Clause, We reserve the right, at Our sole and absolute discretion, to suspend or terminate Your Account at any time, with or without prior notice, in the event of: (a) a breach by You of these Terms or any other Policy Document; (b) any misrepresentation, fraud, or misuse of the Platform or the Services; or (c) any conduct by You that We determine, in Our sole discretion, to be harmful, unlawful, or contrary to the interests of MindDhara, other Users, or Practitioners. Where We terminate Your Account and You have unused paid Sessions or packages at the time of such termination, the same shall be dealt with in accordance with Our Refund and Cancellation Policy.

MindDhara may communicate with You through third-party messaging platforms including WhatsApp for the purposes of appointment reminders, scheduling, and administrative communications. Such communications are not clinical Sessions and do not constitute therapeutic contact. You are advised not to share sensitive personal or clinical information through third-party messaging channels. Clinical disclosures and concerns should be raised directly with Your Practitioner during a Session conducted through the Platform. Where You have provided consent to receive marketing communications, MindDhara may from time to time send You updates, offers, and wellness content through Your registered contact details or third-party messaging platforms. The manner in which MindDhara collects, uses, and retains Your personal data in connection with marketing communications, including the legal basis for such processing, is set out in Our Privacy Policy, which forms part of these Terms. You may withdraw this consent at any time by contacting Us at hello@minddhara.com or through the opt-out mechanism provided in such communications.

You shall use the Platform strictly for lawful purposes and in a manner consistent with these Terms, all applicable laws and regulations, and any guidelines or policies communicated by Us from time to time.

You shall not, directly or indirectly:

  • use the Platform or the Services for any purpose that is unlawful, fraudulent, defamatory, obscene, harassing, threatening, hateful, or otherwise objectionable under applicable law;
  • upload, transmit, publish, or otherwise make available any content or material that is false, misleading, harmful, abusive, pornographic, racially or ethnically offensive, or that infringes the intellectual property rights, privacy rights, or any other rights of any third party;
  • impersonate any person or entity, or misrepresent Your identity, qualifications, or affiliation with any person or entity, in connection with Your use of the Platform or the Services;
  • access or attempt to access any Account other than Your own, or any system, network, or data connected to the Platform, through hacking, password mining, or any other unlawful means;
  • introduce or transmit any software, code, file, or programme that contains a virus, worm, trojan, or any other harmful or malicious component that may impair, damage, or disrupt the Platform, its infrastructure, or any connected network;
  • decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of any software underlying the Platform;
  • remove, obscure, or alter any proprietary notices, trademarks, copyright symbols, or other intellectual property markings appearing on or through the Platform;
  • reproduce, duplicate, copy, sell, resell, or commercially exploit any part of the Platform, the Services, or any content made available through the Platform, without Our express prior written consent;
  • use any automated tool, script, bot, spider, scraper, or other means to access, extract, or index any part of the Platform or its content without Our express prior written authorisation;
  • take any action that imposes an unreasonable or disproportionate load on the Platform's infrastructure, or that otherwise interferes with or disrupts the operation of the Platform or the experience of other Users;
  • record, capture, transcribe, screenshot, or otherwise reproduce, whether in audio, video, or any other format, any Session conducted through the Platform, without the prior express written consent of all parties including MindDhara. MindDhara does not routinely record Sessions. Where You or the relevant Practitioner or Mentor wish to record a Session, a written request must be submitted to MindDhara in advance. MindDhara reserves the right, at its sole discretion, to approve or decline any such request without incurring any obligation to provide reasons therefor. Where recording is approved, such recording shall be used solely for the purpose stated in the request, stored securely, and deleted once that purpose has been fulfilled. MindDhara shall not be responsible or liable for any recording made without its prior express written approval;
  • directly or indirectly solicit, engage, hire, or otherwise enter into any professional or commercial arrangement with any Practitioner or Mentor whom You were introduced to or connected with through the Platform, outside of and independently of the Platform, during the term of Your engagement with Us and for a period of twelve (12) months following the termination or closure of Your Account; or
  • provide false, inaccurate, incomplete, or misleading information in connection with Your use of the Services, including in relation to Your mental health history, current condition, academic background, or any other matter relevant to the delivery of the Services.

You acknowledge that the quality, safety, and appropriateness of the Services, particularly under MindDhara Couch, are materially dependent on the accuracy and completeness of the information You provide to Us, to Practitioners, and to Mentors. We shall not be responsible or liable for any adverse outcome arising from inaccurate, incomplete, or misleading information provided by You.

Any breach of this Clause shall entitle Us, at Our sole discretion, to suspend or terminate Your Account without prior notice and without liability to You, in addition to any other remedies available to Us under applicable law.

MindDhara Couch

MindDhara Couch is a mental health counselling and therapy service through which You may access one-on-one Sessions, group therapy, mental wellness workshops, cognitive wellbeing assessments, and structured mental health programmes with Practitioners.

MindDhara is not a hospital, psychiatric facility, or emergency mental health service. The Services offered under MindDhara Couch are not a substitute for emergency care, crisis intervention, inpatient treatment, or in-person psychiatric services. The Services are intended as a mode of psychological support and wellness facilitation and do not constitute the practice of medicine.

MindDhara Couch is not designed or equipped to handle medical or psychiatric emergencies, crisis situations, or conditions involving a risk to life, including but not limited to acute suicidal ideation, self-harm, psychosis, or severe psychiatric episodes. If You are experiencing or believe You may be experiencing any such situation, You must immediately contact the nearest hospital, emergency services, or a crisis helpline in Your jurisdiction, including iCall (9152987821) or Tele-MANAS (1800-891-4416, toll-free).

Where Services are delivered by registered medical practitioners, including psychiatrists, such Services shall be provided in accordance with the Telemedicine Practice Guidelines, 2020 issued under the Indian Medical Council framework and such other applicable professional and ethical regulations as may apply. MindDhara and relevant Practitioners shall endeavour to respect the rights of persons with mental illness in accordance with applicable law, including principles relating to informed consent, dignity, confidentiality, autonomy, and the right to refuse treatment recognised under the Mental Healthcare Act, 2017, where applicable.

Practitioners on the Platform are registered with the Rehabilitation Council of India or the Medical Council of India, as applicable. We make reasonable efforts to verify the credentials and qualifications of Practitioners prior to onboarding; however, We do not guarantee the accuracy, completeness, or continued validity of any such credentials at the time of Your Session. Practitioners may be engaged by MindDhara as employees, on a contractual basis, or as independent professionals, depending on the nature of their engagement. Regardless of the nature of such engagement, where Services are delivered through the MindDhara Platform, MindDhara does not control, supervise, or direct the professional judgment or clinical conduct of any Practitioner in the course of a Session, and shall not be deemed responsible or liable for the nature, quality, accuracy, or outcome of the services rendered by such Practitioner. We reserve the right, at Our sole discretion, to reassign You to a different Practitioner at any time, including where Your assigned Practitioner is unavailable, has ceased to be onboarded on the Platform, or where We otherwise determine a reassignment to be appropriate. We shall endeavour to notify You of any such reassignment in advance where reasonably practicable.

Users retain the right to discontinue participation in counselling or therapy Services at any time, subject to applicable cancellation policies and professional considerations relating to safety and continuity of care.

Where a suitable Practitioner becomes available at a later date, MindDhara will offer You the option to reschedule rather than cancel. Where You choose not to reschedule, any fees paid shall be dealt with in accordance with Our Refund and Cancellation Policy.

You acknowledge and accept that mental health outcomes cannot be guaranteed. The effectiveness of counselling and therapy is dependent on a range of factors personal to You, including Your engagement with the process, the accuracy of information You provide, and circumstances beyond Our or the Practitioner's control. We make no representation, warranty, or assurance in relation to the outcome, efficacy, or results of any Session or programme undertaken through MindDhara Couch.

All information shared by You during a Session is treated as Confidential Information and shall not be disclosed by Us or the relevant Practitioner to any third party, except: (i) where You have provided Your prior written consent; (ii) where disclosure is required by applicable law, a court order, or a direction of a competent authority; (iii) where the Practitioner determines, in their professional judgment, that disclosure is necessary to prevent imminent risk of harm to You or to any other person; or (iv) where disclosure is necessary for the purposes of clinical supervision, quality assurance, or professional review, subject to appropriate confidentiality safeguards. You acknowledge that confidentiality in the context of online counselling is subject to the inherent limitations of digital communication, and We shall not be liable for any breach of confidentiality arising from circumstances beyond Our reasonable control.

In the event that a Practitioner reasonably determines, in the course of a Session, that You present a risk to Yourself or to others, the Practitioner may, in accordance with their applicable professional and legal obligations, take such steps as they deem necessary, including disclosing relevant information to appropriate authorities or emergency services. Such disclosure shall not constitute a breach of confidentiality under these Terms or applicable law.

MindDhara Forward

MindDhara Forward is an advisory and guidance service only. We do not guarantee, and shall not be held liable for, admission to any university or institution, scholarship outcomes, employment opportunities, or any other result arising from the advisory Services provided. All admission, scholarship, and employment decisions rest entirely with the relevant universities, institutions, employers, or awarding bodies, as the case may be, and are beyond Our control.

The information provided through MindDhara Forward, including but not limited to university rankings, application deadlines, tuition fees, scholarship criteria, and course details, is furnished for general guidance purposes only. Such information is subject to change without notice and may not reflect the most current requirements or policies of the relevant institutions. It is Your sole responsibility to independently verify all such information directly with the relevant institution or authority prior to making any decision.

MindDhara Forward does not provide visa processing, immigration consultancy, or job placement services and shall not be construed as doing so. Where You require assistance in relation to visa or immigration matters, You are advised to engage a licensed immigration consultant or legal professional. We may, from time to time, refer You to appropriate third-party service providers for such purposes; however, any such referral shall not constitute an endorsement, and We shall bear no responsibility or liability in connection with the services provided by any such third party.

MindDhara does not control or direct the professional judgment or advisory conduct of Mentors in the course of a Session, and shall not be liable for the nature, quality, accuracy, or outcome of the guidance provided by a Mentor, except to the extent required by applicable law.

We reserve the right, at Our sole discretion, to reassign You to a different Mentor at any time, including where Your assigned Mentor is unavailable, has ceased to be onboarded on the Platform, or where We otherwise determine a reassignment to be appropriate. We shall endeavour to notify You of any such reassignment in advance where reasonably practicable.

The usefulness and effectiveness of the guidance provided through MindDhara Forward is dependent on a range of factors personal to You, including the accuracy and completeness of the information You provide, Your individual effort, and circumstances entirely beyond Our or the Mentor's control. We make no representation, warranty, or assurance in relation to the outcome or results of any advisory Session or package undertaken through MindDhara Forward.

MindDhara Forward is not a mental health service and shall not be construed as such. Mentors are not trained or authorised to provide psychological assessment, therapy, counselling, or clinical advice of any kind. Advisory guidance provided through MindDhara Forward is based on the lived experience and professional knowledge of Mentors and does not constitute regulated professional advice. Where a User or participant discloses a mental health concern, emotional distress, or a situation involving risk to their own safety or the safety of others in the course of a Forward Session, the Mentor shall not address such concern clinically but shall signpost the individual to appropriate professional services, including MindDhara Couch where relevant, and shall notify MindDhara in accordance with its internal safeguarding and escalation protocols. MindDhara shall not be liable for any outcome arising from a disclosure made in the course of a Forward Session. Users and participants requiring mental health support are encouraged to access MindDhara Couch or an appropriate professional service.

All Sessions and advisory packages must be paid for in full prior to confirmation of booking. A booking shall not be deemed confirmed until payment has been successfully processed through the applicable payment processor.

Payments on the Platform are processed through such PCI-DSS compliant payment processor(s) as We may engage from time to time, which may vary depending on Your location and the currency of payment. By making a payment on the Platform, You agree to be bound by the terms and conditions of the applicable payment processor. We shall not be responsible or liable for any failure, delay, or error arising from or in connection with the processing of payments by any such processor.

Session Fees and advisory package fees are as displayed on the Platform at the time of booking and may vary depending on the Practitioner or Mentor You select and the type of Service chosen. All fees are exclusive of applicable taxes unless expressly stated otherwise. Goods and Services Tax and any other applicable statutory levies shall be charged separately and shown on Your invoice. We reserve the right to revise fees at any time; however, any revision shall not affect a booking already confirmed and paid for.

Where payments are made in foreign currency, applicable currency conversion rates, platform fees, and international transaction charges may apply. We shall not be responsible for any charges levied by Your bank or card issuer in connection with such transactions.

All refunds and cancellations shall be governed exclusively by Our Refund and Cancellation Policy, which forms part of these Terms and is available on the Platform. We reserve the right to update the Refund and Cancellation Policy at any time, and the version in force at the time of Your request shall apply.

All content on the Platform, including but not limited to text, graphics, images, audio, video, worksheets, assessment tools, programme materials, logos, trademarks, trade names, and the underlying software and source code, constitutes the intellectual property of MindDhara and is protected under applicable copyright, trademark, and intellectual property laws in India and other jurisdictions. No deemed assignment, transfer, or licence of any intellectual property right is granted to You by virtue of Your use of the Platform or the Services.

You may access and use the content available on the Platform solely for Your own personal, non-commercial purposes in connection with Your use of the Services. You shall not, directly or indirectly:

  • reproduce, duplicate, copy, download, or store any content from the Platform beyond what is necessary for personal use;
  • sell, resell, redistribute, sublicense, or otherwise commercially exploit any content or any part of the Platform;
  • modify, adapt, translate, or create derivative works from any content on the Platform;
  • remove, alter, or obscure any copyright notice, trademark, or other proprietary marking appearing on or through the Platform; or
  • use any content from the Platform in a manner that misrepresents its origin or suggests any association with or endorsement by MindDhara that does not exist.

Where You submit feedback, testimonials, survey responses, or any other content to MindDhara in connection with Your use of the Platform or the Services, You grant MindDhara a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide licence to use, reproduce, publish, and display such content for the purposes of operating, improving, and promoting the Platform and the Services, subject to applicable data protection laws and Our Privacy Policy. You confirm that any such submission is Your own and does not infringe the rights of any third party.

If You believe that any content on the Platform infringes Your intellectual property rights, You may notify Us in writing at hello@minddhara.com with sufficient details to enable Us to identify and assess the alleged infringement. We shall endeavour to respond to all such notices within a reasonable time.

In the course of Your use of the Platform and the Services, You may share information that is confidential in nature, including personal disclosures made during Sessions, academic and career details shared under MindDhara Forward, and any other information that the context of disclosure reasonably indicates should be kept confidential ("Confidential Information").

We shall not disclose Your Confidential Information to any third party except:

  • where You have provided Your prior written consent;
  • where disclosure is required by applicable law, a court order, or a direction of a competent authority;
  • where disclosure is necessary to prevent imminent risk of harm to You or to any other person, as determined by Us or the relevant Practitioner in their professional judgment;
  • where disclosure is necessary for the purposes of clinical supervision, quality assurance, or professional review, subject to appropriate confidentiality safeguards; or
  • where disclosure is made to Our employees, contractors, or service providers who require access solely for the purposes of delivering the Services, and who are bound by equivalent confidentiality obligations.

You shall keep confidential all non-public information relating to MindDhara, its Platform, its Practitioners, its Mentors, and its Services that comes to Your knowledge through Your use of the Platform, and shall not disclose or make use of such information for any purpose other than Your personal use of the Services.

You acknowledge and agree that the confidentiality of information transmitted over the internet cannot be guaranteed. We shall implement reasonable technical and organisational measures to protect Your Confidential Information but shall not be liable for any unauthorised disclosure arising from circumstances beyond Our reasonable control, including cyberattacks, third-party data breaches, or Your failure to secure Your device or Account.

Where You engage with MindDhara in more than one capacity, information shared in one capacity shall not be used or disclosed in connection with any other capacity without Your express written consent.

The obligations under this Clause shall survive the termination or closure of Your Account for as long as the relevant information retains its confidential character.

This Clause shall be read together with Our Privacy Policy at all times. In the event of any conflict between this Clause and the Privacy Policy in respect of Personal Information, the Privacy Policy shall prevail.

MindDhara is committed to the safety and wellbeing of all minors who participate in MindDhara Forward programmes, workshops, mentorship sessions, or any other Services. Where a Mentor, Practitioner, or MindDhara employee becomes aware of, or has reasonable cause to suspect, abuse, neglect, exploitation, sexual abuse, or any other harm involving a minor, MindDhara may take such safeguarding and reporting measures as it deems necessary or appropriate under applicable law, including disclosure to parents or guardians, emergency services, child protection authorities, or reporting authorities under the Protection of Children from Sexual Offences Act, 2012 ('POCSO Act'). MindDhara's safeguarding obligations shall take precedence over confidentiality obligations in matters involving the safety or protection of a minor.

You agree to indemnify, defend, and hold harmless MindDhara and its directors, officers, employees, contractors, agents, and affiliates from and against any and all claims, demands, losses, damages, costs, and expenses, including reasonable legal fees, arising out of or in connection with Your use of the Platform or the Services in violation of these Terms or any applicable law, any misrepresentation or provision of false or misleading information by You in connection with Your registration or use of the Services, any violation by You of the rights of any third party including any Practitioner, Mentor, or other User, any content submitted or transmitted by You through the Platform that is false, defamatory, misleading, or harmful in respect of any Practitioner, Mentor, User, or third party and that gives rise to a claim against MindDhara, or any claim brought by a Practitioner or Mentor arising from content posted or communicated by You through or in connection with the Platform. MindDhara reserves the right to assume exclusive control of any matter subject to indemnification by You, in which case You agree to cooperate fully with Us in asserting any available defence.

To the fullest extent permitted by applicable law, MindDhara, its directors, officers, employees, contractors, agents, and affiliates shall not be liable to You for any loss, damage, injury, or expense of any kind arising out of or in connection with Your use of the Platform or the Services, including any mental health or advisory outcome, any decision made by You in reliance on guidance provided through the Platform, any act or omission of any Practitioner or Mentor whether engaged as an employee, contractor, or independent professional, any interruption or unavailability of the Platform, any unauthorised access to Your Account arising from Your failure to secure Your credentials, or any loss arising from third-party content or services accessible through the Platform. In no event shall We be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of opportunity, or loss of goodwill, whether arising in contract, tort, or otherwise, even if We have been advised of the possibility of such damages.

These Terms shall come into effect upon Your registration on the Platform and shall continue in force until Your Account is closed or terminated in accordance with the Closure of Account clause. You may terminate Your agreement with MindDhara at any time by requesting closure of Your Account in accordance with the Closure of Account clause of these Terms.

We reserve the right to suspend or terminate Your access to the Platform and the Services, with or without prior notice and without liability to You, in the event of any breach by You of these Terms or any other Policy Document, any misrepresentation, fraud, or provision of false or misleading information by You in connection with Your registration or use of the Services, any conduct by You that We determine, in Our sole discretion, to be harmful, unlawful, or contrary to the interests of MindDhara, other Users, Practitioners, or Mentors, or any requirement under applicable law or direction of a competent authority.

Termination shall not affect any rights, obligations, or liabilities of either party that accrued prior to the date of termination. The Confidentiality, Limitation of Liability and Indemnity, Disputes and Governing Law clauses, and any other provision that by its nature is intended to survive termination, shall continue to bind both parties notwithstanding the termination of these Terms. The retention and deletion of Your personal data following termination shall be governed by Our Privacy Policy and in accordance with the applicable Law.

These Terms and any dispute or claim arising out of or in connection with them, including any dispute as to their existence, validity, interpretation, breach, or termination, shall be governed by and construed in accordance with the laws of India.

In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute amicably through good faith discussions. If the dispute is not resolved within thirty (30) days, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed mutually by the parties. The seat and venue of arbitration shall be Gurugram, Haryana, India. The arbitration proceedings shall be conducted in the English language. Subject to the foregoing arbitration provision, courts located in Gurugram, Haryana shall have exclusive jurisdiction in relation to matters arising from these Terms.

In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, MindDhara has appointed a Grievance Officer to address complaints and concerns raised by Users in relation to the Platform and the Services. Any User who has a grievance in respect of the Platform, the Services, or any content published thereon may contact the Grievance Officer using the details set out below.

Users may raise complaints relating to content, data privacy, impersonation, unlawful content, intellectual property infringement, access or usage concerns, violation of these Terms, or such other matters contemplated under Rule 3(2) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

In accordance with the Digital Personal Data Protection Act, 2023, the Grievance Officer is also designated as MindDhara's point of contact for complaints relating to the processing of Your personal data, the exercise of Your data rights including Your right to access, correct, and erase Your personal data, and the withdrawal of Your consent to the processing of Your personal data. For all matters relating to Your personal data, You may also refer to Our Privacy Policy, which sets out Your rights and Our obligations in detail.

Any grievance submitted to the Grievance Officer shall be acknowledged within twenty-four (24) hours of receipt and resolved within thirty (30) days of receipt, in accordance with applicable law. Where a grievance cannot be resolved within this period, We shall notify You of the reasons for the delay and the expected timeline for resolution. If You are not satisfied with the resolution provided, You may escalate the matter to the appropriate authority under applicable law.

MindDhara is committed to protecting Your personal data and handling it in a responsible and lawful manner. The collection, use, storage, sharing, and processing of Your Personal Information is governed by Our Privacy Policy, which forms part of these Terms and is available on the Platform. By registering on or using the Platform, You confirm that You have read and understood Our Privacy Policy and consent to the processing of Your Personal Information in accordance with it.

In accordance with the Digital Personal Data Protection Act, 2023, You have the right to access, correct, and erase Your personal data, withdraw Your consent to its processing, and raise a grievance in respect of any alleged violation of Your data rights. MindDhara shall implement reasonable technical and organisational measures to protect Your Personal Information against unauthorised access, loss, or misuse. However, You acknowledge that no method of transmission over the internet or electronic storage is completely secure, and We cannot guarantee absolute security of Your data.

We reserve the right to update or modify these T&C at any time. Where any modification is material, including any change that affects the scope of Services, the fees payable, the data We collect, or Your legal rights, We will notify You by email to Your registered address within a reasonable time before such change takes effect. MindDhara shall determine in good faith whether a modification is material. Where a modification is required by law or to address an urgent security or regulatory matter, MindDhara may implement such change immediately and shall notify You as soon as reasonably practicable thereafter. Your continued use of the Platform following the effective date of any change shall constitute Your acceptance of the updated T&C. If You do not agree to the updated T&C, You must discontinue Your use of the Platform and may request closure of Your Account in accordance with the Closure of Account clause. For non-material changes, We will update the T&C on the Platform and note the date of the most recent revision.

Entire Agreement

These Terms, read together with Our Privacy Policy, Refund and Cancellation Policy, and any other Policy Documents published on the Platform from time to time, constitute the entire agreement between You and MindDhara in relation to Your use of the Platform and the Services and supersede all prior agreements, representations, and understandings between the parties in relation to the same.

Severability

If any provision of these Terms is found by a court or competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed severed from the remainder of these Terms, which shall continue in full force and effect.

Waiver

Any failure on the part of MindDhara to require performance of any provision of these Terms shall not affect its right to full performance thereof at any time thereafter, and any waiver by MindDhara of a breach of any provision hereof shall not constitute a waiver of a similar breach in the future or of any other breach.

Assignment

You shall not assign or transfer any of Your rights or obligations under these Terms without Our prior written consent. MindDhara reserves the right to assign or transfer its rights and obligations under these Terms to any affiliate, successor, or acquirer without Your consent and without prior notice.

Force Majeure

MindDhara shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent caused by circumstances beyond Our reasonable control, including acts of God, natural disasters, pandemics, war, civil unrest, government action, power failures, internet outages, failure of third-party service providers, or failures, errors, or interruptions in artificial intelligence systems, digital therapeutic tools, automated platforms, or algorithmic processes used in the delivery of Services. Where reasonably practicable, MindDhara shall use reasonable endeavours to restore the affected Service and notify affected Users as soon as reasonably practicable.

Relationship of Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, employment, or fiduciary relationship between You and MindDhara.

Any notice or communication required under these Terms shall be in writing and delivered to MindDhara at hello@minddhara.com. Notices to You shall be sent to Your registered email address or communicated through the Platform and shall be deemed received on the date of transmission.
